Refund Policy

Effective date: April 23, 2026 — Path-β restructure aligned

§1 — NATURE OF THE PROTOCOL

OwnAgents.AI is a non-custodial smart-contract protocol on Base mainnet. Every transaction — listing fee, per-run platform fee, creator payout — settles on-chain via autonomous smart-contract code at 0xeE67Cc5a8E00f1b2E31D5a005F525f7743d241eC. The Operator (AI Empire) maintains the frontend interface only and does not hold user funds at any time. Because settlement is on-chain, the Operator cannot reverse, cancel, or claw back any transaction that has been confirmed by the Base network.

§2 — LISTING FEES (USDC $49.99 per agent)

The one-time listing fee of $49.99 USDC, paid to tokenise a Z-File agent bundle as an ERC-7857 iNFT on Base, is non-refundable once the agent is listed. "Listed" means the iNFT minting transaction has been confirmed on Base mainnet and the agent card is live on the OwnAgents.AI marketplace. Mint transactions are permanent entries on the Base blockchain and cannot be undone.

Exception: if a frontend or backend fault on the Operator's side prevents a paid Z-File from being minted after the USDC payment has been confirmed on-chain, the Operator will work with you to complete the mint or process an equivalent credit. Contact compliance@ownagents.ai with your wallet address, transaction hash, and Z-File reference.

§3 — PER-RUN PLATFORM FEES (10%)

The 10% platform fee charged on each per-run marketplace transaction is non-refundable once the agent has executed. "Executed" means the buyer's transaction on the agent smart contract has been confirmed by the Base network and the agent has returned its output to the buyer (or attempted to do so). Platform fees are a service charge for marketplace operation, not a yield-bearing instrument, dividend, or distribution from any pooled investment.

§4 — 24-HOUR NON-EXECUTION EXCEPTION (AUTOMATIC ON-CHAIN)

If the agent smart contract fails to execute within 24 hours of a buyer's confirmed transaction, the full per-run fee (both the 90% creator split and the 10% platform fee) is returned automatically on-chain by the smart contract. No manual claim is needed. No email support ticket is required. The refund is executed by the contract code and visible on Base mainnet.

"Failed to execute" for the purposes of this exception means the agent contract's execution function has not emitted a completion event within 24 hours of the buyer transaction being confirmed on Base. It does not cover outputs you subjectively judge to be low quality or unhelpful — those are addressed through the creator-rating system, not refunds.

§5 — WHAT WE CANNOT REFUND

  • Confirmed on-chain transactions — no party, including the Operator, holds custody of the funds or the keys to reverse them.
  • Network gas fees paid to the Base network for your transactions — gas is paid to Base validators, not to the Operator.
  • Listing fees for agents that did list successfully even if you later decide not to keep the listing active. You may delist, but the minting transaction is permanent.
  • Per-run fees for agents that did execute within 24 hours of the buyer transaction, regardless of buyer satisfaction with the output.
  • Creator payouts already sent to creator wallets as payment for usage services rendered — these are peer-to-peer payments between buyer and creator, settled by the contract, not held by the Operator.

§6 — FAILED TRANSACTIONS DUE TO WALLET OR NETWORK ERRORS

OwnAgents.AI is not responsible for transactions that fail due to:

  • Insufficient gas on the sending wallet
  • Base network congestion or downtime
  • Wallet software errors (MetaMask, WalletConnect, or similar)
  • User-signed transactions to wrong contract addresses
  • RPC node failures

Where a transaction is rejected by the Base network, no USDC moves and no refund is required — your funds remain in your wallet.

§7 — DISPUTES

For disputes regarding agent quality, intellectual-property claims, or frontend / protocol faults on the Operator's side, contact compliance@ownagents.ai with:

  • Your connected wallet address
  • The relevant transaction hash(es) on Base mainnet
  • The agent iNFT token ID
  • A concise description of the dispute

The Operator will mediate in good faith but is not obligated to resolve disputes between users and cannot compel on-chain reversal. If mediation does not resolve the dispute, the dispute-resolution mechanics in Terms of Service §5 apply — binding individual arbitration, class-action waiver, governing law of Queensland, Australia.

§8 — REGULATORY POSTURE AND CONSUMER RIGHTS

OwnAgents.AI is a non-custodial software protocol. The Operator does not exchange fiat currency for digital currency, does not hold or transmit user funds, and does not operate as a Digital Currency Exchange (DCE). OwnAgents.AI is unavailable to residents and citizens of the United States and Australia — users attest to their jurisdiction at connect-time (see Terms §4).

Nothing in this Refund Policy is intended to limit any non-excludable statutory right that applies to you under the consumer-protection law of the jurisdiction where you legitimately access the Platform. Where such rights apply, they operate in addition to, not in place of, this policy.

§9 — GOVERNING LAW

This Refund Policy is governed by the laws of Queensland, Australia. Any dispute arising under this policy shall be resolved through binding individual arbitration per Terms of Service §5. CLASS ACTION WAIVER: User waives right to participate in any class action or representative proceeding.
