Terms of Service

1. Acceptance of Terms

By accessing or using OwnAgent ("the Platform"), operated by Quantum Spiritual Health Group Pty Ltd (trading as OwnAgent), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. Description of Service

OwnAgent provides a platform for uploading AI agent bundles ("Z-Files"), minting them as ERC-7857 iNFTs on the 0G blockchain, and listing them on a marketplace for other users to purchase and execute.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use OwnAgent. By using the Platform, you represent and warrant that you meet these requirements.

4. Account and Wallet

• You connect to OwnAgent using a self-custodial wallet (e.g., MetaMask). You are solely responsible for the security of your wallet and private keys.
• OwnAgent does not store, manage, or have access to your private keys.
• You are responsible for all activity conducted through your connected wallet.

5. Z-File Upload and Tokenisation

• By uploading a Z-File, you represent that you own or have the right to tokenise the contents.
• A one-time fee of $49.99 USD (paid in cryptocurrency) is charged for tokenisation.
• Once minted, the iNFT is permanently recorded on the 0G blockchain and cannot be deleted.
• OwnAgent does not guarantee the functionality, quality, or safety of any uploaded Z-File.

6. Marketplace and Payments

• Creators may list tokenised Z-Files on the OwnAgent marketplace.
• OwnAgent charges a 10% platform fee on all marketplace transactions. Creators receive 90% of gross revenue.
• All payments are processed via smart contracts on the 0G blockchain in USDC or equivalent cryptocurrency.
• OwnAgent is not responsible for failed transactions due to network congestion, insufficient gas, or wallet errors.

7. Intellectual Property

• You retain all intellectual property rights to the Z-Files you upload.
• By listing on the marketplace, you grant buyers a licence to execute the Z-File as intended.
• You must not upload Z-Files that infringe on third-party intellectual property rights.

8. Prohibited Conduct

You agree not to:

• Upload malicious, harmful, or illegal content
• Attempt to exploit, hack, or disrupt the Platform or its smart contracts
• Misrepresent the origin, functionality, or ownership of Z-Files
• Use the Platform for money laundering or other illegal financial activities

9. AML and Regulatory Compliance

OwnAgent is a non-custodial platform. We do not hold, transmit, or control user funds at any point. All transactions occur directly between users via smart contracts on the 0G blockchain.

• OwnAgent does not operate as a digital currency exchange (DCE) and is not registered with AUSTRAC as a DCE, as the Platform does not exchange fiat currency for digital currency or vice versa.
• Should regulatory requirements change, OwnAgent will comply with all applicable AML/CTF (Anti-Money Laundering / Counter-Terrorism Financing) obligations under Australian law, including the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth).
• Users are responsible for complying with all applicable laws in their jurisdiction, including any obligations related to the reporting of digital asset transactions.
• OwnAgent reserves the right to suspend or restrict access to any account or wallet address if there is a reasonable suspicion of unlawful activity.

10. Refund Policy

Due to the nature of blockchain technology:

• Blockchain transactions are irreversible. OwnAgent cannot reverse, cancel, or refund on-chain transactions, including minting fees.
• If a technical error on OwnAgent's side prevents a Z-File from being minted after payment has been confirmed on-chain, we will work with you to resolve the issue or process a credit at our discretion.
• Marketplace purchases are final. Buyers should review agent descriptions and ratings before purchasing.

11. Dispute Resolution

If a dispute arises between users (e.g., regarding Z-File quality or intellectual property claims):

• Contact us at fightsphysio@gmail.com with details of the dispute.
• OwnAgent will attempt to mediate in good faith but is not obligated to resolve disputes between users.
• If the dispute cannot be resolved informally, it shall be referred to mediation in accordance with the laws of New South Wales, Australia.

12. Disclaimers

• The Platform is provided "as is" without warranties of any kind.
• OwnAgent does not guarantee uptime, data integrity, or blockchain finality.
• OwnAgent does not provide financial, legal, or investment advice. Use of the Platform is at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law, OwnAgent and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of funds, data, or profits.

14. Indemnification

You agree to indemnify and hold harmless OwnAgent and its operators from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

15. Modifications, Governing Law, and Contact

OwnAgent reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the Platform after changes constitutes acceptance.

These Terms are governed by the laws of Australia. Any disputes shall be resolved in the courts of New South Wales, Australia.
